This policy defines acceptable and prohibited uses of the Syncura platform. It is incorporated by reference into the SaaS Subscription Agreement.
This Acceptable Use Policy (“AUP”) defines acceptable and prohibited uses of Syncura’s software-as-a-service platform and related services (the “Service”). This AUP is intended to protect Syncura, its customers, and third parties from misuse, security risk, and legal exposure. This AUP is incorporated by reference into the SaaS Subscription Agreement (V2). Capitalized terms not defined here have the meanings set forth in the Agreement.
1. Permitted use
Customer may use the Service solely for its internal business purposes, in accordance with the Agreement, Order Form, and applicable documentation, and in compliance with all applicable laws and regulations. Customer is responsible for all use of the Service by its Authorized Users.
2. Prohibited uses
2.1 Illegal or harmful activity
Customer shall not, and shall not permit any user or third party to, use the Service to: violate any applicable law or regulation; process or transmit unlawful, infringing, or fraudulent content; or support activities involving exploitation, abuse, or harm to individuals.
2.2 Security and integrity violations
Customer shall not attempt to gain unauthorized access to the Service or related systems; probe, scan, or test the vulnerability of the Service without authorization; interfere with or disrupt the integrity or performance of the Service; or bypass or circumvent security, authentication, or usage controls.
2.3 Misuse of AI capabilities
Customer shall not use the Service to develop, train, or benchmark competing products or services; attempt to extract, reverse engineer, or reconstruct models, algorithms, or system components; or rely on Outputs without appropriate human review where errors could cause material harm.
2.4 Data rights and privacy violations
Customer shall not submit data that Customer does not have the right to process; process personal data in violation of applicable privacy or data protection laws; or submit data subject to heightened regulatory requirements (such as PHI) without required agreements in place.
2.5 Excessive or abusive use
Customer shall not generate usage patterns that materially degrade Service performance for others; circumvent usage limits, metering, or billing mechanisms; or use the Service for load testing, stress testing, or denial-of-service activities without prior approval.
3. Customer responsibilities
Customer is responsible for: configuring appropriate workflows and validation controls; managing user access and credentials; ensuring Outputs are reviewed and validated before use; and complying with applicable industry and regulatory requirements.
4. Enforcement
Syncura may suspend or restrict access to the Service if it reasonably determines that Customer’s use violates this AUP, poses a security risk, or could expose Syncura or others to liability. Where practicable, Syncura will provide notice and an opportunity to remediate before taking action.
5. Updates to this policy
Syncura may update this AUP from time to time to address evolving security threats, legal requirements, or service changes. Material updates will be communicated in accordance with the Agreement.
